Associate General Counsel - Transactions & Regulatory Affairs

A rapidly expanding, multi-state healthcare management organization is seeking an Associate General Counsel to join its legal team. This senior-level position reports directly to the General Counsel and will focus on corporate transactions, healthcare regulatory matters, real estate, and medical malpractice risk. The role offers high visibility across the organization and a clear path for advancement into executive leadership.

Key Responsibilities

  • Serve as a key advisor to the General Counsel
  • Draft, review, and negotiate physician employment agreements, vendor contracts, and real estate leases
  • Provide counsel on medical malpractice risk and claims management
  • Manage legal issues arising from clinical operations, including HIPAA, patient care, and privacy matters
  • Support litigation and dispute resolution efforts
  • Provide legal guidance on M&A, asset dispositions, and franchise transactions
  • Form and maintain business entities, including drafting operating agreements, UCC filings, and obtaining FEINs
  • Collaborate with Compliance, Clinical Operations, Billing, and Marketing on day-to-day matters and strategic initiatives
  • Draft and manage practice management agreements and legal due diligence deliverables

Qualifications

  • JD; licensed to practice in Illinois (additional licensure a plus)
  • 15+ years of experience spanning both in-house and law firm settings
  • Deep understanding of healthcare operations and regulatory compliance
  • Demonstrated expertise in medical malpractice defense, risk management, and litigation
  • Significant experience in contract negotiation, corporate transactions, and real estate leasing
  • Familiarity with MSO structures, franchise law, and private equity-backed environments preferred
