Senior Corporate Attorney
A distinguished client is looking for a highly skilled and seasoned Senior Corporate Attorney to become a key member of their dynamic legal team. The ideal candidate will have extensive experience in M&A and corporate transactions, with a proven ability to manage complex matters successfully and over 7 years of relevant experience. This opportunity will allow for a strong promotional path on a growing team, work with leadetship, oversight of junior team members, and exposure to complex matters. This position is based in Portland, OR.
Responsibilities:
- Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related agreements.
- Handle private equity transactions (buy side and/or sell side).
- Prepare transaction documents for private capital financing transactions, including venture capital and angel capital equity financing, convertible debt, and SAFE financing transactions, along with related securities law analysis.
- Review, analyze, and draft limited liability company operating agreements, partnership agreements, buy-sell provisions, and other joint venture agreements.
- Coordinate, conduct, and manage due diligence reviews, including overseeing junior associates.
- Advise on general corporate/entity matters, including drafting board and stockholder resolutions, equity plan award documentation, and cap table issues.
Qualifications:
- Juris Doctor degree from an accredited law school.
- Active admission to the Oregon state bar or ability to practice in Oregon.
- Minimum of 7+ years of experience with complex M&A and corporate transactions.
- Strong knowledge of securities law and private capital financing.
- Excellent drafting, negotiation, and communication skills.
- Experience in overseeing and mentoring junior team members.
- Preferred experience with R&W Insurance.
