Senior Legal Counsel - Global Energy Company
Our client is seeking a Senior Attorney to provide high-level legal support on a wide range of sophisticated matters critical to the organization's operations and growth. This senior-level role involves delivering strategic legal counsel across complex transactional work while navigating regulatory frameworks and ensuring compliance with evolving industry standards. The position requires a seasoned legal professional capable of managing multifaceted legal issues, offering practical business solutions, and working closely with internal stakeholders to support key business initiatives in a fast-paced, collaborative environment.
Key Responsibilities:
Provide strategic legal counsel on complex transactional matters, ensuring compliance with applicable laws and regulations while aligning with business objectives.
Lead and manage M&A transactions, including due diligence, structuring, negotiation, and post-closing integration, while mitigating legal risks and ensuring seamless execution.
Draft, review, and negotiate a variety of complex agreements, including those related to gas procurement, LNG supply, power purchase arrangements, and commodity trading.
Advise on regulatory compliance and risk management in the energy sector, including oversight of obligations under FERC, CFTC, and other applicable regulatory bodies.
Collaborate closely with internal business and commercial teams to structure and execute transactions that support strategic growth while safeguarding legal and regulatory interests.
Oversee and manage relationships with external counsel, ensuring effective collaboration and efficient legal representation on specialized matters.
Provide legal guidance on commodity trading strategies, including physical and financial trades, hedging, and risk mitigation.
Monitor and interpret changes in relevant laws and regulations, offering proactive legal guidance to maintain compliance and minimize exposure.
Deliver practical, business-oriented legal solutions while balancing legal risks and advancing organizational goals.
Qualifications:
Juris Doctor (JD) degree from an accredited law school and active bar membership.
8+ years of experience as a practicing attorney with significant experience in Mergers and Acquisitions, Gas Procurement, LNG, Power Purchase Agreements, and Commodities Trading.
Proven track record of leading complex M&A transactions and negotiating high-value agreements in the energy sector.
Strong leadership, analytical, drafting, and negotiation skills.
Ability to work independently while collaborating effectively across departments.
Exceptional communication and interpersonal skills.
