A renewable energy manufacturing company is seeking an experienced General Counsel to lead the legal function and support the company's mission by providing strategic legal advice to the executive team. The General Counsel will be a strategic partner to the executive leadership team, responsible for overseeing all legal matters related to the company's operations. This role encompasses a broad range of legal issues, including but not limited to, Engineering, Procurement, and Construction (EPC) agreements, manufacturing agreements, service agreements, supplier agreements, and regulatory compliance matters. The ideal candidate will possess deep expertise in commercial agreements, a strong background in the renewable energy sector, and the ability to navigate complex legal landscapes with strategic foresight.
Responsibilities:
- Develop and implement legal strategies that align with the company's business objectives and growth plans.
- Serve as a trusted advisor to the executive team on all legal and regulatory matters.
- Manage and mentor the in-house legal team, fostering a culture of excellence and collaboration.
- Draft, review, and negotiate EPC agreements, manufacturing agreements, service agreements, supplier agreements, and other key contracts.
- Ensure that contracts are compliant with applicable laws, regulations, and company policies.
- Advise on risk management and mitigation strategies related to contractual obligations and disputes.
- Monitor and interpret federal, state, and local regulations affecting the renewable energy industry.
- Ensure company practices and agreements comply with all relevant regulatory requirements.
- Liaise with regulatory bodies and oversee compliance initiatives.
- Oversee and manage legal disputes, including litigation and arbitration processes.
- Develop strategies for dispute resolution and negotiate settlements to protect the company's interests.
- Advise on corporate governance matters, including board and shareholder meetings, and ensure adherence to corporate policies and procedures.
- Support the preparation of legal documentation and filings required for corporate governance.
- Manage and protect the company's intellectual property portfolio, including patents, trademarks, and trade secrets.
- Advise on IP-related agreements and disputes.
- Identify potential legal risks and develop strategies to mitigate them.
- Conduct legal due diligence for mergers, acquisitions, and partnerships.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and admission to the bar in at least one U.S. state.
- A minimum of 7 years of legal experience, with a focus on commercial contracts, renewable energy, and related industries.
- Demonstrated experience in drafting and negotiating complex agreements, including EPC, manufacturing, and service agreements.
- Strong understanding of regulatory requirements and compliance issues in the renewable energy sector.
- Excellent analytical, negotiation, and communication skills.
- Proven ability to manage multiple projects and priorities in a fast-paced environment.
- Prior experience in-house experience from a manufacturing, construction or renewable energy company is highly desirable.
