Position Overview
The Senior Paralegal, Renewable Energy Transactions will support the legal team in the development, financing, and acquisition of solar energy projects. In this role, you will manage and provide critical support for a variety of renewable energy commercial contracts and coordinate transaction closings. This position is ideal for a motivated professional who thrives in a fast-paced environment and is passionate about advancing clean energy solutions.
Key Responsibilities:
- Serve as the deal closer, coordinating with internal and external teams to ensure timely execution of all transaction documentation.
- Prepare, review, and manage complex agreements, including acquisition, financing, and tax equity contracts integral to solar energy projects.
- Facilitate the preparation and negotiation of tax equity agreements, ensuring alignment with tax incentive guidelines (e.g., ITC or PTC).
- Provide transactional support for mergers and acquisitions in the renewable energy sector, including reviewing and organizing term sheets, purchase agreements, and disclosure schedules.
- Coordinate with developers, engineers, and external consultants to ensure all legal aspects of project development are aligned with contractual obligations.
- Monitor progress and documentation of project milestones, including notices to proceed and substantial completion certificates.
- Collaborate with legal counsel, stakeholders, and counterparties to address transaction-related inquiries and manage deliverables.
- Manage and maintain detailed closing checklists for solar and renewable energy transactions.
- Track, compile, and deliver closing binders and post-closing requirements.
- Conduct due diligence reviews and manage data room activities to ensure accuracy and readiness for transaction closings.
Qualifications:
- Bachelor's degree and/or Paralegal Certificate from an ABA-accredited program.
- 5+ years of paralegal experience with a focus on renewable energy transactions, including project development, finance, and M&A.
- Proven ability to manage complex solar or renewable energy closings, including creating and maintaining closing checklists and ensuring all deliverables are met.
- Experience in preparing, reviewing, and organizing contracts for acquisitions, financing agreements, and tax equity structures.
- Knowledge of renewable energy project development processes.
