Job Opportunity: Commercial Counsel
Role Overview:
One of the largest equity derivatives clearing organizations in the U.S. is looking to add a Commercial Counsel to its growing legal team. The firm serves as a central counterparty for options and futures trades, ensuring the financial integrity of these transactions. This role involves providing legal advice to internal teams on a range of matters, with a particular focus on commercial, technology, and transactional issues.
Key Responsibilities:
- Draft, review, and negotiate various commercial contracts, particularly those related to technology, such as software as a service (SaaS) agreements, software licenses, and professional services contracts.
- Manage policies and procedures for the commercial transactions team.
- Support the confidentiality program, including negotiating non-disclosure agreements.
- Conduct legal research and analyze commercial legal issues.
- Assist senior legal team members with research, projects, and counseling.
- Work with internal departments like strategic sourcing, IT, risk management, and security to address legal concerns.
- Perform additional duties as needed.
Supervisory Responsibilities:

Qualifications:
- 2+ years of experience in commercial transactions, either at a law firm or in-house.
- Experience with IT transactions, including SaaS agreements, is preferred.
- Strong ability to produce high-quality, accurate work promptly.
- Excellent analytical, problem-solving, interpersonal, communication, and collaboration skills.
- Ability to identify and escalate issues to senior legal team members as necessary.
- Familiarity with securities and commodity laws and experience with regulatory agencies or financial institutions is a plus.
- Knowledge of clearance, settlement, and risk management functions is preferred.
Technical Skills:
- Proficiency in Microsoft Office (Excel, Word)
Education and Experience:
- Juris Doctor or equivalent degree from an accredited law school.
- Bachelor's degree from an accredited institution.
Certificates or Licenses:
- Licensed to practice law in Illinois
