Senior Corporate Counsel - Fortune 500 Insurance Company
Overview:
A leading Fortune 500 insurance company is seeking a Senior Corporate Counsel to join its dynamic legal team. This position will play a critical role in supporting the company's public company obligations and general corporate legal matters. The ideal candidate will have a strong background in corporate law, particularly within publicly traded companies or at a law firm with a focus on securities and corporate governance.
Key Responsibilities:
- Provide legal counsel on securities law compliance, including drafting and reviewing periodic reports (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, and other SEC filings.
- Advise on corporate governance matters, including board and committee processes, charters, and policies.
- Assist with the preparation for annual shareholder meetings and liaise with internal stakeholders regarding public company disclosure obligations.
- Support the company's compliance with NYSE/Nasdaq listing standards and evolving securities laws and regulations.
- Partner cross-functionally with finance, investor relations, and compliance teams to ensure accurate and timely public disclosures.
- Contribute to corporate transactions, including M&A activity, joint ventures, and capital markets activity, as needed.
- Stay abreast of developments in securities laws and corporate governance best practices and provide guidance to relevant teams.
Qualifications:
- J.D. from an accredited law school and admission to practice law in at least one U.S. jurisdiction.
- Minimum of 5 years of experience practicing corporate law, either in-house at a publicly traded company or at a law firm with a strong securities/corporate governance practice.
- Deep knowledge of U.S. securities laws, public company reporting requirements, and corporate governance.
- Exceptional written and verbal communication skills.
- Strong analytical skills and ability to work independently in a fast-paced environment.
- Experience in the insurance or broader financial services industry is a plus, but not required.
