Senior Corporate Counsel
An innovative provider of healthcare products and services, dedicated to improving patient outcomes and enhancing the efficiency of healthcare providers. With a diverse portfolio that includes emergency medical supplies, respiratory care products, and medical equipment, we serve a wide range of healthcare professionals and institutions. This company headquarters is in Ohio and is looking to bring on a Senior Corporate Counsel that will would under the direction of the General Counsel and Director of Legal Affairs.
Responsibilities:
- Draft and negotiate various commercial agreements, including product sourcing, GPO/IDN and customer agreements, warehousing, distribution and fulfillment services, NDAs, marketing and consulting agreements, IT, SaaS, and other legal documents.
- Support the company's mergers and acquisitions (M&A) activities
- Assist in responding to litigation, subpoenas, and other requests for information
- Assist the company in responding to bids and RFPs by reviewing bid documents, drafting alternative contract provisions, and providing guidance on compliance with Minority and Women-Owned Business Enterprise (MWBE) requirements.
Qualifications
- Three to five years of relevant experience
- Juris Doctor (JD) degree from an ABA- accredited law school
- Active membership in good standing with the Ohio Bar or another state bar
- Efficiently handle a diverse array of transactions, negotiating both standard and complex corporate and commercial agreements while balancing legal and business risks effect.
