Counsel - IP and Commercial

The Counsel - Intellectual Property (IP) and Commercial Legal role will provide strategic legal support and advice on IP matters and commercial legal affairs. The Counsel will work closely with business stakeholders to:
- Review, draft, and negotiate various agreements, including confidentiality agreements, licenses, research agreements, and collaboration agreements.
- Offer guidance on competitor IP positions and conduct freedom to operate assessments.
- Provide counsel on litigation and other adversarial proceedings.
- Advise on patent, trademark, and copyright matters.
- Support commercial transactions with due diligence on IP.
The Counsel will also participate in patent review meetings, oversee patent and trademark portfolios, and collaborate with outside counsel on the preparation, filing, and maintenance of patents and trademarks. Additionally, the Counsel will act as a strategic partner to various business units, supporting and interfacing with project teams on commercial legal matters. We are considering candidates that can work a hybrid/mobile schedule with in-office days at our headquarters location.
Your Day To Day:
Intellectual Property
- Act as a strategic partner and key legal advisor for business stakeholders on all IP matters, aligning IP strategies with business and strategic plans.
- Review, draft, and negotiate agreements such as confidentiality agreements, licenses, research agreements, and collaboration agreements.
- Manage outside counsel and oversee patent and trademark portfolios.
- Conduct freedom to operate assessments and provide counsel on litigation and adversarial matters.
- Support commercial transactions with due diligence on IP.
- Train company employees on IP matters.
Commercial Legal
- Serve as a strategic partner to various business units, supporting and interfacing with project teams, customers, vendors, and outside counsel.
- Review, analyze, negotiate, and draft commercial agreements.
- Identify and advise on legal risks associated with commercial engagements.
- Collaborate with internal project management groups and business teams to achieve corporate objectives.
- Train and advise management on legal and compliance matters and risk mitigation efforts.
- Travel domestically and internationally as needed.
Qualifications:
- Juris Doctor with strong academic credentials from an accredited law school.
- Minimum 3 years of relevant experience (large law firm experience preferred; in-house counsel experience preferred).
- Active license to practice law in a US State.
- Admitted to practice before the United States Patent and Trademark Office (preferred).
- Proficient with Microsoft Office and related applications.
- Strong legal research, analysis, and writing abilities.
- Extensive knowledge of IP law.
- Experience with commercial legal matters.
