Senior Corporate Securities Attorney
An industry leading client, is seeking a highly skilled and experienced Corporate Securities Attorney, with at least seven years of experience, to join its expanding Securities team. This role requires deep expertise in U.S. securities laws, corporate governance, public company reporting, and capital markets transactions. The ideal candidate will be a strategic thinker, a collaborative partner, and a proactive problem-solver who can operate effectively in a fast-paced, high-growth environment. This role will sit in Chicago, IL, in a hybrid structure.
Key Responsibilities:
Advise on all aspects of securities law compliance, including the Securities Act of 1933, the Securities Exchange Act of 1934, and applicable NYSE/NASDAQ listing standards.
Prepare, review, and file periodic and current reports (e.g., 10-K, 10-Q, 8-K), proxy statements, Section 16 filings, and other required SEC filings.
Provide legal guidance on capital markets transactions, including equity and debt offerings, private placements, and financing arrangements.
Counsel stakeholders on corporate governance matters, including board and committee support, corporate policies, and governance best practices.
Support investor relations, finance, and communications teams in connection with earnings releases, press releases, investor presentations, and other external communications.
Monitor regulatory developments and advise on implications for the company's business and compliance framework.
Assist with M&A and strategic transactions, including due diligence, structuring, negotiation, and integration support.
Qualifications:
J.D. from a top-tier law school and active membership in good standing with the Illinois bar.
Minimum 7 years of relevant legal experience, with a combination of top-tier law firm training and/or in-house legal experience in a public company setting.
Deep knowledge of federal securities laws, SEC rules and regulations, and corporate governance practices.
Experience supporting public company reporting and compliance functions.
Strong transactional background, including capital markets and/or M&A.
Excellent judgment and the ability to assess legal risk while providing practical legal advice.
Preferred Qualifications:
Experience in the technology, biotech, or financial services industries.
Familiarity with ESG disclosure trends and requirements.
Experience working with international teams or companies with global operations.
