Senior Counsel

Our Client, a leading global mining company is looking to hire a Senior Counsel to their legal team out of greater Corpus Christi, Texas. The Senior Counsel will work closely with various business units to manage legal risks, ensure adherence to regulatory standards, and support daily operations, major projects, and dispute resolution. This role involves providing legal advice to senior management, overseeing external legal counsel, ensuring compliance with environmental and regulatory requirements, and advising on public communications and sponsorships to avoid conflicts of interest.

Responsibilities:

  • Serve as the trusted legal expert, providing proactive, sound, and pragmatic legal advice to senior management and various business areas on matters including operations, contracts, regulatory compliance, environmental issues, and dispute resolution.
  • Lead the review, negotiation, and drafting of contracts and master supply/service agreements, ensuring alignment with internal policies, risk management protocols, and applicable legal requirements.
  • Develop and implement resolution strategies, working with internal and external counsel as necessary, to protect the organization's interests.
  • Provide legal guidance on public-facing communications related to legal matters, sustainability initiatives, environmental compliance, and corporate social responsibility, ensuring messaging is accurate, legally sound, and in line with company values.
  • Assist with documenting, testing, and maintaining SOX controls and procedures, ensuring legal and operational processes meet the standards required of a publicly traded company.
  • Minimize and mitigate legal risks by offering strategic solutions and collaborating with external counsel on complex legal matters when necessary.
  • Collaborate with internal stakeholders to ensure contracts align with business goals and regulatory requirements.
  • Support the development, implementation, and maintenance of legal and corporate compliance programs, focusing on areas such as HR, environmental regulations, health and safety standards, and industry-specific compliance.
  • Oversee and collaborate with the Public Relations & Communications Manager to ensure external communications align with legal, compliance, and regulatory requirements.
  • Work alongside c-suite to manage donations and sponsorships, ensuring compliance with company's regulatory, ethical, and legal measures, while identifying and preventing potential conflicts of interest.
  • Delivering training to the business teams on a variety of legal and compliance related matters.



Qualifications

  • J.D. with admission to the State Bar of Texas or able to waive in.
  • 5-10+ years of work experience on a wide range of legal matters
  • Knowledge of law in the energy/environmental sector is a plus.
  • Experience with with the following areas of law: contracts, dispute resolution, claims management, and compliance
  • Strong communication skills; ability to effectively communicate in an international environment, with various stakeholders.
