Job Overview:
We are working with a global insurance carrier in need of a versatile Corporate Counsel to join its dynamic Legal team. This role will be responsible for providing legal guidance on a broad range of corporate matters, including commercial contracts, regulatory compliance, corporate transactions, and governance. The ideal candidate will demonstrate strong business acumen, excellent communication skills, and a practical, collaborative approach to solving legal challenges.

Key Responsibilities:

  • Review, draft, and negotiate a variety of commercial agreements, including NDAs, vendor and supplier contracts, software and technology licensing, consulting engagements, broker and agency agreements, and partnership arrangements.

  • Partner with colleagues in Legal and Compliance to address regulatory requests and support the preparation and submission of regulatory filings.

  • Provide legal advice and conduct due diligence in support of corporate transactions such as mergers, acquisitions, joint ventures, and strategic investments.

  • Support corporate governance efforts by assisting with the drafting of board resolutions, internal policies, standard operating procedures, and governance documentation; advise leadership on compliance with applicable laws and corporate best practices.

  • Conduct in-depth legal research and proactively monitor legislative and regulatory changes that may impact the company's operations, delivering actionable insights and legal guidance to internal stakeholders.

  • Build and maintain strong relationships with internal business partners, offering practical legal solutions, mitigating risks, and aligning legal strategies with business goals.

  • Oversee corporate litigation matters and coordinate with external counsel to ensure efficient and effective management of disputes.

  • Participate in cross-functional initiatives and serve as the Legal department representative on project teams.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school; licensed to practice law in at least one jurisdiction.

  • Minimum two years of relevant legal experience

  • Solid understanding of corporate law, commercial contracts, and regulatory compliance.

  • Experience supporting M&A and other strategic corporate initiatives is highly desirable.

  • Strong drafting, negotiation, and legal analysis skills.

  • Demonstrated ability to manage multiple projects and deadlines in a fast-paced environment.

  • Excellent interpersonal skills with a collaborative and solution-focused mindset.
