AGC - Elite Multifamily RE Developer
Our client is an established Multifamily Real Estate Developer with a diverse range of assets across the entire East Coast. They are seeking an experienced real estate attorney for an Assistant General Counsel (AGC) role. The AGC will be responsible for advising the General Counsel and other key executives on legal matters across the firm's various business lines, as well as directing and coordinating with outside counsel. The AGC will handle a broad range of responsibilities related to vendor compliance, due diligence, contracting, litigation, and corporate governance.
Responsibilities:
- Oversee vendor compliance and ensure all vendor agreements and regulations are met.
- Conduct due diligence for transactions and prepare, review, and negotiate real estate-related contracts, including construction and joint venture agreements.
- Identify and mitigate legal and operational risks; provide strategic legal advice to minimize exposure.
- Manage the company's litigation matters and collaborate with external counsel to resolve disputes effectively.
- Ensure compliance with the Corporate Transparency Act and oversee corporate governance and record-keeping.
- Review, advise on, and summarize various business agreements, such as property management agreements, purchase and sale agreements, loan agreements, and guarantees.
- Maintain and update corporate policies and procedures to ensure adherence to legal and regulatory requirements.
Qualifications:
- JD degree from an accredited law school.
- Minimum of three years of relevant experience in a real estate practice group at a law firm or in-house legal department.
- Strong knowledge of real estate law, risk management, and entity compliance.
- Excellent negotiation, drafting, and analytical skills.
- Ability to work independently and provide strategic legal advice with a high level of professionalism.
