We are currently working with a leading law firm seeking a highly motivated and skilled Corporate M&A Private Equity Associate Attorney to join their remote team. This position will allow you to work with some of the most prominent names in the industry on high-stakes deals, providing top-tier legal services to our clients in a fast-paced, dynamic, and collaborative environment. The successful candidate will possess a solid understanding of M&A and Private Equity transactions and be ready to take on complex matters with minimal supervision.

Corporate Associate Attorney Key Responsibilities:

  • Work on high-profile mergers, acquisitions, and private equity transactions, representing private equity funds, corporate buyers, and sellers, as well as investment banks.

  • Provide legal advice on a broad range of corporate governance, structuring, and regulatory matters in connection with M&A and private equity deals.

  • Conduct due diligence, draft, negotiate, and review transactional documents, including purchase agreements, shareholders agreements, and financing documents.

  • Support and collaborate with senior attorneys, partners, and clients in the preparation and execution of complex transactions.

  • Advise clients on legal and business considerations, offering innovative solutions to meet their goals.

  • Manage and mentor junior associates and provide constructive feedback.

  • Maintain a strong focus on providing exceptional client service and maintaining high standards of legal work.

Corporate Associate Attorney Qualifications:

  • Juris Doctor (JD) from an accredited law school.

  • Active license to practice law in at least one U.S. jurisdiction.

  • Minimum of 2-5 years of experience in corporate M&A and private equity transactions, with a deep understanding of both domestic and cross-border deals.

  • Strong drafting, negotiation, and analytical skills.

  • Ability to work independently and manage a diverse workload while maintaining attention to detail.

  • Excellent verbal and written communication skills.

  • Exceptional organizational skills and the ability to work under tight deadlines.
