This Global Company is seeking a highly skilled and experienced Senior Counsel to join its legal team to help support its North America operations, covering the US and Canada.
Key Responsibilities:
- Provide legal advice and support on a wide range of corporate matters, including contracts, regulatory compliance, intellectual property, and employment law.
- Draft, review, and negotiate contracts and agreements including MSAs, SOWs, NDAs, and SaaS agreements and provide support in developing and implementing contract playbooks and guides.
- Ensure compliance with Canadian laws and regulations relating to corporate governance and commercial agreements.
- Support business development activities including M&A transactions and partnerships.
- Collaborate with internal stakeholders to support business objectives and provide proactive legal guidance.
- Manage external legal counsel as needed.
- Oversee and advise with respect to litigation and disputes.
Qualifications:
- Juris Doctor (JD) degree or equivalent from an accredited law school.
- Minimum of 5 years of experience in corporate or commercial law.
- Experience practicing Canadian law is a must.
- Strong knowledge of Canadian corporate, regulatory, and intellectual property law.
