A renewable energy developer is seeking a highly skilled and motivated attorney to join its team. This role involves providing sophisticated legal support related to structuring, drafting, and negotiating contracts for the procurement of EPC (Engineering, Procurement, and Construction) and construction services, engineered equipment (such as power generation equipment), and other complex commercial transactions.
The ideal candidate will serve as the first in-house legal hire and advise the company and senior management within various specialized functions. This position demands a high level of professional expertise and experience with significant financial implications for the company or business unit.
Responsibilities:
- Oversee all legal matters for the company, including corporate governance, regulatory compliance, and risk management.
- Draft, negotiate, and review various types of agreements, including Power Purchase Agreements (PPAs), Engineering, Procurement, and Construction (EPC) contracts, Operations and Maintenance (O&M) agreements, land acquisition and leasing agreements, interconnection agreements, and project financing documents.
- Develop and implement a comprehensive contract management system, including drafting, reviewing, and maintaining all company contracts.
- Structure, negotiate, and draft agreements for commercial transactions, ensuring alignment with the company's strategic objectives.
- Review and negotiate contracts related to the procurement of power generation equipment and engineering services.
- Ensure strict compliance with the company's Code of Business Conduct and Ethics, and report potentially material legal issues to the audit function and senior management.
- Manage relationships with outside and external counsel to ensure effective and efficient legal support.
- Perform additional job-related duties as assigned.
Qualifications:
- Juris Doctor (J.D.) from an accredited law school.
- A minimum of 7+ years of experience in a law firm or in-house legal department.
- Admission to the bar in at least one U.S. state and in good standing.
- Extensive experience in drafting and negotiating contracts for the procurement of power generation equipment and engineering and procurement work.
- Proven track record of representing construction companies, electric utilities, and independent power producers.
