Legal Counsel
Our Client is looking for a Project Finance Attorney in Chicago to join their growing legal team.
Key Responsibilities
- Lead and manage all financing transactions, including construction, project finance, and tax credit monetization. This involves overseeing due diligence, drafting, reviewing, and negotiating transaction documents (such as loan agreements, promissory notes, and security agreements), managing closings, and advising on post-closing covenants. Implementing internal processes to improve efficiency in these areas is essential.
- Provide legal support to the development, transmission, and origination teams on project-related matters, including interconnection, permitting, governmental contracts, ISO market participant issues, and origination RFP submissions.
- Supervise and mentor transactional support staff.
- Oversee and finalize late-stage development tasks to ensure projects are ready for financing.
- Lead and advise on tax credit monetization transactions, tax equity compliance, audits, and dispute resolution as needed.
- Manage and ensure compliance with financing covenants, including the implementation of internal processes.
- Handle various legal matters as required, including standard contracts such as professional services agreements, licenses, confidentiality agreements, and similar documents.
- Hire and manage outside legal counsel and oversee billing.
- Collaborate with cross-functional teams to ensure legal compliance and risk management, including the development, finance, construction, market operations, and asset management departments related to the financing, construction, and operation of battery storage projects.
Requirements
- Bachelor's degree and JD required.
- Must be licensed to practice law in the jurisdiction of the applicable office location.
- At least 5 years of legal experience required.
- In-house experience preferred.
- Expertise in various financing transactions, including construction, project finance, and tax credit monetization.
- Comfortable with ambiguity and making business decisions with limited information.
- Willingness to wear multiple hats based on business needs and project priorities.
- High comfort level with leading and supervising teams, with a curiosity and enthusiasm for innovation and motivating colleagues.
- Must be able to take ownership and initiative to be effective within a highly motivated, fast-moving team and complete tasks in a timely manner, including directing business units as necessary.
