Registered Funds Counsel - Global Investment Firm
A fast growing Global Investment Firm is looking to bring on a Registered Funds Counsel. The team is looking to bring somebody on who will come in and join the in-house legal team to support the firm's US registered funds including BDC's and closed-end funds. The ideal candidate will have a very strong understanding of the 1940 Act and have hands on experience with structuring and the regulation of funds registered under the 1940 Act.
Job Responsibilities:
- Work closely with investment teams to structure deals, compliant with 1940 Act
- Prepare materials for quarterly board meetings for registered fund directors
- Collaborate with Business Development to draft and negotiate distribution agreements
- Manage and work with outside counsel on drafting and reviewing applicable filings along with other projects
- Fund management of Cayman feeder funds into 1940 Act funds
Qualifications:
- Expertise in private market investments, alternative funds (including private equity, venture capital, and real estate), and 1940 Act fund structures.
- Deep knowledge of Advisors Act of 1940 and 1940 Act
- Ideally, some experience with Cayman feeder funds
- Familiarity advising on investment structuring as it related to the 1040 Act
- JD and licensed to practice law in one of NY, CA, or NC
- 3+ years' experience with registered investment companies; experience in global fund formation and fund structuring
- Outstanding legal drafting, research skills and analytical research skills
- Ability to work with internal stakeholders
