Associate General Counsel - Rapidly Growing Venture Capital Firm
A rapidly growing venture capital firm in Austin, TX is seeking a highly skilled and motivated Associate General Counsel to join their dynamic legal team. In this role, you will play a critical part in supporting the firm's legal and compliance functions, with a focus on funds of funds work, fund formation, and transactional/M&A related activities. The ideal candidate will have 3-5 years of relevant experience in these areas, preferably within the venture capital or private equity industry.
Responsibilities:
- Provide legal support and guidance on fund structuring, formation, and ongoing operations, including drafting and negotiating fund documents, partnership agreements, and regulatory filings.
- Assist with due diligence, negotiation, and execution of investment transactions, including equity financings, mergers and acquisitions, and other strategic transactions.
- Collaborate with internal stakeholders, including investment professionals, finance, and compliance teams, to ensure legal and regulatory compliance throughout the investment lifecycle.
- Manage relationships with external legal counsel, advisors, and service providers to support the firm's legal needs and strategic initiatives.
- Stay abreast of relevant legal and regulatory developments impacting the venture capital industry and provide proactive guidance to mitigate risks and seize opportunities.
- Contribute to the development and enhancement of legal processes, policies, and best practices to support the firm's growth and operational excellence.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the bar in good standing in at least one U.S. jurisdiction.
- 3-5 years of experience in funds of funds work, fund formation, and transactional/M&A related activities, preferably within the venture capital or private equity industry.
- Strong understanding of corporate and securities laws, as well as regulatory requirements relevant to investment management and fund operations.
- Excellent drafting, negotiation, and communication skills, with a meticulous attention to detail.
- Ability to thrive in a fast-paced, entrepreneurial environment and manage multiple priorities effectively.
