Our client, a rapidly growing company in the Hospitality space, is seeking a skilled and experienced Mergers & Acquisitions (M&A) Counsel to join the legal team. The ideal candidate will have a strong background in M&A transactions and corporate law, with 5+ years of relevant experience. This role will be instrumental in supporting strategic growth initiatives through successful M&A activities.
This role is onsite multiple days a week in Denver, and relocation candidates will be considered.
Key Responsibilities:
- Provide legal advice and support on all aspects of M&A transactions, including due diligence, structuring, negotiation, and documentation.
- Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, merger agreements, and ancillary documents.
- Collaborate with internal teams and external advisors to ensure smooth execution of M&A transactions.
- Conduct legal research and stay informed about relevant laws, regulations, and industry trends affecting M&A activities.
- Assist in post-transaction integration and provide ongoing legal support for acquired entities.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar.
- 5+ years of experience in M&A transactions and corporate law, preferably in a corporate setting.
- Strong knowledge of M&A processes, corporate governance, and relevant laws and regulations.
