Job Summary:
A rapidly growing hedge fund is seeking an Associate General Counsel to join their dynamic legal team. The ideal candidate will have 3-7 years of experience with a strong background in fund formation, investment management, and transactional matters, preferably within the hedge fund or broader investment management industry. Key Responsibilities:
- Fund Formation: Advise on and manage the legal structuring, formation, and maintenance of investment funds, including drafting and negotiating fund offering documents and related agreements.
- Transactional Support: Provide legal guidance on transactional activities, including M&A, joint ventures, and strategic partnerships involving the firm and its portfolio companies.
- Regulatory Compliance: Collaborate with compliance teams to ensure adherence to SEC regulations and other applicable laws governing hedge funds and investment management entities.
- Corporate Governance: Advise on governance matters, draft board resolutions, and assist with the oversight of fund and management company governance structures.
- Contract Negotiation: Draft, review, and negotiate a variety of contracts, including service agreements, side letters, and other fund-related agreements.
- Risk Management: Identify and mitigate legal risks associated with the firm's operations and transactions.
Qualifications:
- Experience: 3-7 years of relevant legal experience in fund formation, investment management, and transactional law.
- Prior experience at a leading law firm, hedge fund, or investment management company is strongly preferred.
- Education: J.D. from a top-tier law school and active membership in at least one state bar.
- Expertise:
- Comprehensive understanding of securities laws, including the Investment Advisers Act and other regulatory frameworks applicable to hedge funds.
- Strong drafting and negotiation skills for complex legal documents.
