Key Responsibilities:
- Provide expert counsel and representation to clients in corporate M&A transactions, including strategic advice on mergers, acquisitions, joint ventures, restructurings, and governance matters.
- Lead and manage all phases of M&A deals, from due diligence, drafting and negotiating transaction documents, to post-closing integration and dispute resolution.
- Collaborate with clients to develop and execute effective corporate strategies, advising on potential risks, deal structuring, and compliance with regulatory requirements.
- Stay informed on developments in corporate law, including securities regulations, antitrust laws, and other relevant legal areas, to provide cutting-edge solutions and ensure clients remain ahead of industry trends.
Qualifications:
- 2-5+ years of experience in corporate M&A, including hands-on experience with complex transactions and corporate governance matters.
- Law firm experience is required, with a proven ability to handle all aspects of M&A, from due diligence through closing and post-closing matters.
- Strong knowledge of federal, state, and international corporate law, securities regulations, and antitrust issues, with the ability to navigate complex legal landscapes.
- Exceptional legal writing, research, and negotiation skills, with the ability to draft clear, compelling documents such as transaction agreements, memoranda, and client communications.
