A reputable client is seeking a highly skilled and experienced Corporate Attorney to join their dynamic legal team. The ideal candidate will have a strong background in M&A and private equity transactions, due diligence, and corporate governance matters. The successful candidate will possess excellent analytical, communication, and negotiation skills, and will thrive in a fast-paced, collaborative environment. This role will sit in Chicago, IL.
Key Responsibilities:
- In-depth understanding of acquisition agreements and related documentation for complex M&A and private equity deals, with proficiency in drafting & negotiating of these documents/contracts.
- Leading and managing due diligence processes, including reviewing financial statements, contracts, and other critical documents.
- Overseeing the entire transaction process from inception to closing, ensuring all legal and regulatory requirements are met.
- Serving as a primary point of contact for clients, providing legal advice and updates on transaction progress.
- Advising clients on corporate governance matters and general corporate law issues.
Qualifications:
- JD degree with a strong academic record and active bar membership in Illinois or eligible for admission.
- A minimum of 3 years of experience in corporate transactions, specifically with M&A and private equity matters.
- Expertise in managing M&A transactions from start to finish.
- Experience in leading due diligence teams.
- General corporate and corporate governance experience.
- Strong analytical, drafting, and negotiation skills.
