A renewable energy developer is seeking an Attorney to join its Legal team. This role involves providing primary legal support on project finance and M&A transactions, as well as other contract negotiations. The position reports directly to the General Counsel.
This position plays an integral part in structuring, executing, and closing complex transactions. It requires advocating for business considerations and occasionally acting as the commercial lead in negotiations. The Legal Counsel will collaborate with internal teams across development, finance, construction, procurement, operations, and management to support execution and enhance their own industry knowledge.
Responsibilities:
- Oversee legal aspects of acquiring and selling solar energy facilities and battery energy storage systems at various stages of development, construction, or operation. Work with the finance team to structure and plan M&A transactions. Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and ancillary documents.
- Draft and negotiate various commercial contracts, including power purchase agreements, services agreements, consulting agreements, and non-disclosure agreements.
- Engage with external lenders, tax equity investors, project buyers and sellers, and other business partners to negotiate commercial issues.
- Lead legal aspects of financing transactions for solar energy facilities and battery energy storage systems, including construction financing, term debt, tax equity financings, and refinancing. Collaborate with the finance team to structure and plan transactions. Draft and negotiate financing documents such as loan agreements, partnership agreements, security agreements, and guarantees.
- Manage internal paralegals to support transactions and contract negotiations.
- Oversee outside legal counsel as needed to facilitate project finance and M&A transactions and development efforts.
- Engage with internal executives, the Investment Committee, Board of Directors, external investors, and corporate lenders to support transaction approvals and key contracts.
- Collaborate with other legal team members to address issues on their deals and contracts.
- Coordinate diligence efforts on project finance and M&A transactions, working closely with the company's finance and development teams.
Requirements:
- J.D. from an accredited law school and current license to practice in at least one U.S. state.
- Minimum of 5+ years of legal experience.
- Strong problem-solving skills and a business-oriented approach to legal issues.
- Experience in negotiating project finance (including tax equity) and M&A transactions in the renewable energy industry.
- Excellent written, verbal, and interpersonal communication skills.
- Ability to prioritize multiple assignments and meet tight deadlines.
- Experience with construction agreements, procurement agreements, and power purchase agreements in the renewable energy industry is a plus.
- Ability to analyze complex issues and provide appropriate advice to internal business partners.
