A reputable Real Estate Private Equity Firm in the Los Angeles area focused on large-scale and complex US real estate investments is looking for a Senior Corporate Paralegal to support not only the General Counsel and the Legal Department, but also the Head of Capital Markets for the firm. This is a senior-role that allows the opportunity for direct exposure to investors and to wear multiple different hats.
This candidate will primarily be responsible for preparing and filing documents for business entities and ensuring these entities remain in good standing, drafting documents and amendments including bylaws, agreements, resolutions, etc., assisting with document preparation for investment and financing transactions, including KYC due diligence, and working effectively with senior management and investors.
The firm is primarily looking for candidates with 5+ years of experience as a Paralegal in Real Estate or Corporate law, with exposure to investments/funds a plus. Prior experience and understanding of entity management & corporate governance responsibilities is needed, as well as knowledge of real estate, financing, and other corporate transaction agreements.
Responsibilities:
- Setting up and maintaining business entities (corporations, LLCs, partnerships, etc).
- Drafting business entity governing documents and amendments
- Assisting on the preparation of documents related to the firm's investment and financing transactions
- Assisting on all other documentation as it relates to securities regulation, vendor agreements, NDAs, etc.
Qualifications:
- Undergraduate degree or paralegal certificate from an ABA-accredited program
- 5+ years of experience as a Paralegal in Real Estate or Corporate law, with exposure to investments/funds being a plus
- Prior experience with corporate governance functions
- Knowledge of real estate, financing, other corporate transactions agreements
