Our client, a reputable logistics company based out of Houston, is looking to grow their Legal Team! Reporting into the Corporate Counsel, this person will ideally have extensive experience in contract management and administration, ensuring that all corporate contracts are accurately drafted, reviewed, and maintained. This role requires a proactive individual who can manage multiple tasks efficiently and support the legal team in various corporate legal matters.
Responsibilities:
Contract Drafting and Review: Draft, review, and negotiate a wide range of corporate contracts, including NDAs, service agreements, vendor contracts, and partnership agreements.
Contract Administration: Maintain and manage the contract lifecycle, including tracking contract status, renewals, and expirations. Ensure all contracts are stored and organized in the contract management system.
Compliance: Ensure all contracts comply with company policies, legal requirements, and industry regulations. Conduct regular audits to ensure compliance.
Legal Research: Conduct legal research on contract-related issues and provide recommendations to the legal team.
Support Legal Team: Assist attorneys with various corporate legal matters, including mergers and acquisitions, corporate governance, and regulatory compliance.
Communication: Liaise with internal departments and external parties to facilitate contract negotiations and resolve any contract-related issues.
Documentation: Prepare and maintain accurate records of all contracts and related documents. Ensure proper documentation and filing of all legal documents.
Training: Provide training and guidance to internal teams on contract management processes and best practices.
Qualifications:
Education: Bachelor's degree in Paralegal Studies, Legal Studies, or a related field. Paralegal certification is preferred.
Experience: Minimum of 3+ years of experience as a corporate paralegal with a focus on contracts and contract administration.
