Job Description:
Our team is looking for a Corporate Paralegal to join a Pittsburgh-based Manufacturer with a growing legal team. This role will report to senior-level attorneys and cover corporate governance matters on a global scale, corporate transactions, and data management.
Key Responsibilities:
- Manage global entity governance, including maintaining governance matters for international legal entities.
- Support the formation, dissolution, and restructuring of legal entities; coordinate annual reports and regulatory filings.
- Oversee outside counsel for subsidiary governance matters; manage director and officer slates.
- Assist with corporate transactions such as mergers and acquisitions, financial matters, and securities requirements.
- Prepare Board and Board Committee agendas and meeting packages.
- Create and implement governance best practices; draft and update Board and Committee charters; maintain corporate governance documents and policies.
- Prepare minutes, resolutions, and written consents for Board Committees; maintain corporate minute books.
Requirements:
- Bachelor's degree or paralegal certification.
- Minimum of 8 years of experience as a Paralegal; preferred experience in a public company.
- Strong proficiency in Microsoft Suite.
- Ability to work independently and manage multiple projects in a fast-paced environment.
- Excellent written and oral communication skills, with a creative approach to problem-solving.
