A leading Chicago-based Investment Platform is seeking a General Counsel to advise on the day-to-day legal affairs of the company. This role will report directly to the CEO and focus on managing legal strategy, advising senior leadership and negotiating key agreements. The General Counsel will also manage outside counsel and stay informed of relevant regulatory developments.
Key Responsibilities:
- Lead legal strategy and advise senior leadership on all matters, including regulatory requirements, risk management, employment matters, and data security and privacy issues.
- Manage emerging legal and regulatory risks for the platform and affiliated companies, including the broker-dealer, insurance company, and RIA.
- Negotiate and review contracts, including NDAs, key enterprise agreements, and strategic partnerships.
- Manage corporate governance, including maintaining accurate corporate records, Board meetings, shareholder communications, and compliance with regulatory filings.
- Provide legal advice on business operations including partnerships, M&A, etc. and manage outside counsel on litigation and other disputes as needed.
Required Skills:
- J.D., Bar admission in Illinois and 10+ years of general corporate and transactional experience.
- Knowledge of federal securities rules and regulations, preferably within the financial services or technology industry.
- Ability to communicate clearly and concisely with executive presence and work collaboratively in an entrepreneurial, fast-paced environment.
- Ability to manage and prioritize multiple demands and projects simultaneously.
