I'm currently working with a global food chain that is looking to hire a Corporate Counsel. This publicly traded establishment has been on a path of growth and is a household name internationally. They are currently expanding their legal function and hiring a Corporate and Securities Counsel to join their team. This individual will focus on providing legal advice and guidance to the business on a range of corporate and securities law compliance and general corporate matters. This individual will ideally operate on a hybrid model out of the company's headquarters in the greater Columbus, OH area.
Responsibilities
- Provide legal counsel on compliance with securities regulations (33 Act and 34 Act), including managing filings and disclosures.
- Lead the preparation and compliance of the company's proxy statement. Oversee filing of proxy materials, respond to shareholder proposals, and coordinate with internal and external stakeholders.
- Maintain and update corporate governance documents and charters and provide guidance on governance issues.
- Review, negotiate, and provide legal guidance cross-functionally on contracts, such as stock repurchase agreements, master service agreements, and audit engagement letters.
Requirements
- 3+ years of experience advising public companies on corporate and securities law
- Strong foundation in advising on corporate finance, equity plan matters, and executive compensation.
- Proven experience in reviewing and negotiation contracts
