My client, a private equity firm based in New York City, specializing in commercial real estate is looking to bring on a Paralegal that will support real estate investment level matters, fund administration and general corporate housekeeping. The ideal candidate is somebody considering pursuing a JD degree or an individual looking to grow within the real estate space.
Job Responsibilities:
- Collaborate with the internal legal team on the intake and review of investor subscription documents.
- Assist the investor relations team with investor questionnaires and RFPs.
- Support the outside counsel and internal legal team on all matters related to deal closings, including coordinating required signature pages, organizing and providing due diligence to lenders, and facilitating other deliverables.
- Prepare and coordinate bank lending applications and similar documents.
- Collaborate with the deal team on the intake and coordination of internal reviews for various legal agreements, including service/trade contracts, confidentiality agreements, and brokerage agreements
- Work closely with insurance brokers and various firm team members to bind and update insurance policies.
- Oversee firm document storage and management.
- Collaborate with outside counsel to maintain a detailed tracking system for all firm litigation.
- Handle the formation and dissolution of entities, maintain an internal tracker for all firm entities, and manage ongoing maintenance obligations with state departments and corporate entity services (including entity-level fees, franchise taxes, and annual filings).
- Draft basic operating agreements, assignment documents, corporate resolutions, and subscription documents.
- Create structure charts for entities.
- Maintain internal shared drives for all legal entities, deal closing binders, and various legal documents.
- Manage the distribution of investment documents to investors and maintain investor database information.
- Prepare capital calls for investors.
- Process invoices
Required Qualifications:
- 3+ years of paralegal experience handling real estate and corporate matter in-house or at a law firm
- Understanding of real estate transactions, basic legal documents and complex corporate structures
- Attention to detail with strong organization skills, process-oriented
- Proficiency in Microsoft Office
- Ability to prioritize multiple projects with excellent time management skills
- Strong interpersonal and written and verbal communication skills
