Summary
This role will be a key member of the organization's legal team, reporting directly to the General Counsel, and serving as an advisor focusing on securities regulation and corporate governance, as well as global M&A and other legal matters. This position will also act as head legal advisor to the Corporate Finance and Tax functions through the management of capital markets transactions and assisting with other investment matters. The Securities Counsel will have regular interaction with the Board of Directors and cross-functional teams.
Responsibilities
- Support the General Counsel in identifying emerging issues, setting legal strategy, handling key legal projects, and implementing department initiatives.
- Act as lead counsel to the global M&A, Finance, Treasury and Tax functions, managing legal aspects of capital markets transactions and assisting with other banking and investment matters.
- Ensure compliance with applicable securities regulations; partner with the External Reporting team to prepare SEC filings, and lead the process to prepare the Company's proxy statement. Own all securities-related policies and procedures. Review 10Qs, 10Ks, earnings materials and other investor presentations; prepare 8Ks, etc.
- Alongside the General Counsel, supervise and manage corporate board functions, including all relevant corporate governance laws, board meetings, committee functions, among others. Support board committees as needed.
- Serve as a legal advisor on all key business transactions. Oversee and/or lead the planning, negotiation and implementation of mergers, acquisitions, divestitures, investment transactions, and similar strategic transactions.
Qualifications
- 10+ years of legal experience
- Experience providing legal advice and leadership to a global public company.
- Proficient SEC compliance experience including the preparation and filing of SEC documents and preparation of company proxy statements.
- Strong understanding of corporate governance and ability to support a board of directors and its committees.
- Experience leading and negotiating M&A, capital markets, and joint venture transactions.
