Position Overview:
They are seeking a highly experienced Senior Commercial Counsel to join their legal team. The ideal candidate will have 5-8 years of experience in project development, gas rights, pipeline and interconnection agreements, project site leases, FERC regulations, LOIs, and other agreements necessary to bring an RNG project from development through start-up. This role is crucial in supporting the company's commercial activities and ensuring legal compliance throughout the project lifecycle.
Key Responsibilities:
- Drafting, reviewing, and negotiating a wide range of commercial agreements, including gas purchase agreements, pipeline and interconnection agreements, project site leases, and other contracts related to RNG project development and operations.
- Providing legal counsel and support to internal stakeholders on matters related to project development, including land rights, permitting, environmental regulations, and compliance with FERC requirements.
- Advising on gas rights acquisition, transportation, and distribution strategies to optimize project efficiency and profitability.
- Collaborating with cross-functional teams, including project management, engineering, finance, and regulatory affairs, to identify legal risks and develop strategies to mitigate them.
- Conducting due diligence on potential project acquisitions, partnerships, and joint ventures, and providing legal guidance on transactional matters.
- Managing external legal counsel and consultants as needed, ensuring cost-effective and timely delivery of legal services.
- Keeping abreast of industry trends, regulatory developments, and best practices in renewable energy and gas industry law.
- Participating in negotiations, mediations, and dispute resolution processes as needed to protect the company's legal interests.
- Developing and maintaining standard contract templates, policies, and procedures to streamline the contracting process and ensure consistency.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and active membership in the State Bar of Texas (or eligible for in-house counsel licensure).
- 5-8 years of experience practicing law with a focus on commercial contracts, project development, and regulatory compliance in the energy sector, preferably with experience in renewable energy or natural gas.
- Strong understanding of gas rights, pipeline and interconnection agreements, FERC regulations, project site leases, and other legal aspects of RNG project development.
- Proven track record of negotiating and drafting complex commercial agreements, with excellent attention to detail and risk assessment skills.
- Ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities and deadlines effectively.
- Excellent communication skills, both verbal and written, with the ability to communicate complex legal concepts clearly to non-legal stakeholders.
- Experience working with cross-functional teams and external partners/vendors in a corporate setting.
- Familiarity with environmental laws, permitting processes, and regulatory frameworks relevant to renewable energy projects is a plus.
