A renewable energy company is seeking a Senior Corporate Counsel to join their legal team. This role is designed for a highly skilled attorney with a deep background in financial and commercial transactions. It's an opportunity to be a key player in structuring and negotiating high-value contracts while providing strategic legal guidance across a variety of business matters. The ideal candidate will have a strong background in working with commodity agreements, credit facilities, finance transactions, and industry-specific agreements such as NAESBs, NAEMAs, LEAPs, ISDAs, and EEIs. This role demands a depth of transactional experience and a proven ability to manage intricate legal matters in a fast-paced, evolving environment.
Responsibilities:
- Structure and negotiate credit facilities, financing arrangements, and related agreements. Ensure compliance with applicable laws and regulations, and provide counsel on optimizing financial structures to mitigate risk and enhance operational efficiency.
- Provide counsel on corporate governance matters, including compliance with internal policies and external regulatory requirements. Navigate regulatory changes affecting the organization and proactively manage legal risks.
- Work closely with business teams to advise on the legal implications of business decisions, including contract development, RFP reviews, and strategic initiatives.
- Advise on corporate governance issues, dispute resolution, compliance with industry regulations, and any evolving legal matters affecting the organization's operations.
- Draft, review, and negotiate a variety of contracts, including commodity agreements, procurement contracts, professional services agreements, confidentiality agreements, and more.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- A minimum of 5 years of legal experience, focusing on financial and commercial transactional matters.
- Active bar membership in at least one U.S. state.
- Experience with structured finance contracts and credit facilities is a plus.
- A background in renewable energy is a plus, but not required.
- Experience drafting and negotiating NAESBs/NAEMAs, LEAPs, ISDAs, and EEIs is preferred.
