Senior Corporate Counsel - Innovative Asset Manager
Our client, an innovative asset management firm in Dallas, TX, is seeking a Senior Corporate Counsel to join their legal team. This position focuses on SEC compliance for public companies and investment firms while also handling general corporate legal matters. Key Responsibilities:
- Advise on SEC compliance matters, including filings, disclosures, and regulatory reporting for public companies and investment firms.
- Develop and implement corporate governance policies and ensure adherence to best practices.
- Provide legal support for general corporate matters, including contracts, mergers and acquisitions, and other transactions.
- Stay abreast of evolving securities laws and regulations, ensuring the company's compliance.
- Partner with internal stakeholders to mitigate legal and regulatory risks.
- Manage relationships with external counsel as needed for specialized legal support.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction (Texas bar preferred).
- Minimum of 2 years of relevant experience in SEC compliance and corporate matters at a reputable law firm or sophisticated in-house environment.
- Deep understanding of securities laws, corporate governance, and investment industry regulations.
- Strong interpersonal and communication skills, with the ability to manage multiple priorities in a fast-paced environment.
