As a Corporate M&A Lawyer for this highly reputable client, you will play a key role in advising clients on complex mergers and acquisitions, joint ventures, and other strategic corporate transactions. You will have the opportunity to work on high-profile, cross-border deals across a variety of industries. You will collaborate with partners, clients, and cross-disciplinary teams, providing innovative legal solutions and navigating the full lifecycle of M&A transactions.
Responsibilities:
- Lead and assist in the structuring, negotiation, and execution of complex M&A transactions.
- Provide strategic advice on corporate governance, securities law, and antitrust considerations.
- Draft and review key transaction documents, including purchase agreements, disclosure schedules, and other related contracts.
- Manage client relationships and serve as a trusted advisor to key stakeholders.
- Collaborate with other practice areas, including tax, antitrust, and regulatory, to ensure comprehensive deal execution.
- Supervise junior associates and assist in their professional development.
- Contribute to business development and firm growth by participating in networking and client outreach efforts.
Qualifications:
- J.D. from an accredited law school.
- 5+ years of experience in corporate law, with a focus on M&A transactions.
- Strong experience advising clients on complex deals and cross-border transactions.
- Excellent negotiation, drafting, and communication skills.
- Proven ability to work collaboratively in a team-oriented environment.
- Ability to manage multiple projects and meet tight deadlines.
- Admission to the Pennsylvania Bar
