Their platform supports independent physician groups by providing tools and partnerships that enable them to deliver value-based care and prioritize the overall well-being of their patients.
They are seeking a Corporate & Securities Counsel to join their growing legal team on a fully-remote basis.
Responsibilities
- Manage SEC filings and other corporate filings, including the proxy statement, 10-K, and Section 16 reports, as well as ensuring compliance with NYSE listing requirements.
- Assist with corporate governance matters, including supporting and presenting to the Board and its committees.
- Provide legal support for all transactional corporate matters, including debt and equity offerings.
Requirements
- JD and active US bar license
- 5+ years of relevant experience (2+ years in-house)
- Must have extensive Board governance experience
- Strong experience with NYSE and SEC compliance
