Senior Securities Counsel - Financial Services Company
A Global Financial Services company is actively seeking a Securities Counsel to provide hands-on legal oversight on all matters related to Public Company securities matters. Reporting directly to the Deputy General Counsel and Corporate Secretary, this individual will be joining a lean team and will be the go-to subject matter expert on securities matters, working closely as an advisor for C-Suite and other senior business leaders across the firm.
This individual will be responsible for handling securities reporting, supporting the company's audit function, overseeing corporate governance matters, advising on strategic transactions, and more. The ideal candidate has experience handling securities and securities reporting/disclosure at a publicly traded institution.
Responsibilities:
- Draft and review periodic reports and other public company disclosure documentation; 10-Ks, 10-Qs, Section 16, etc.
- Liaise with C-Suite on a regular basis; provide legal advice on the company's quarterly earning process, audits, and more.
- Work closely with the Audit teams to provide legal oversight; prepare board materials, sit in on board meetings and provide legal advice when needed, and more.
- Counsel capital markets, M&A, restructuring, debt, and other strategic transactions across the business.
- Ad-hoc legal responsibilities as needed
Qualifications:
- Juris Doctor or equivalent from an accredited law school
- 10+ years of experience with public company disclosure matters
- Experience within the Financial Services industry is not a requirement, but considered a significant plus.
- Strong written and verbal communication skills
