Role Overview
We are looking for a corporate lawyer with significant transactional experience in the life sciences sector to join us as Associate Counsel. This role will drive efficiencies across our Asset Development and Finance business. The ideal candidate will have strong business acumen, a desire to learn, and the ability to thrive in a dynamic environment while managing multiple priorities.
Key Responsibilities
- Structure, negotiate, and execute complex transactions in the life sciences industry, including venture capital investments, debt and royalty financing transactions, new company formations, licensing and collaborations, IPOs, PIPEs, and SPAC transactions.
- Conduct thorough reviews of transaction documents to negotiate terms that align with business objectives while minimizing risks.
- Assist in preparing SEC disclosures related to investments.
- Collaborate closely with the investment, business development, operations, tax, and compliance teams.
- Effectively manage outside counsel.
Qualifications and Skills
- At least four years of corporate/transactional experience, including some combination of VC financings, M&A, credit/debt or royalty transactions, capital markets, emerging companies, IP licensing, and/or general corporate work with experience in the life sciences industry, at a top-tier law firm and/or in-house at an investment firm or company in the life sciences space.
- JD from Top Law School
- Admission in good standing to the New York bar.
- Outstanding intellectual ability and ability to learn new things quickly.
- Excellent written and oral communication skills, including strong drafting skills and attention to detail in the context of complex transactions.
