Position Overview:
A Prominent Global Asset Manager is seeking a highly skilled and experienced Associate General Counsel to join their legal team. The ideal candidate will have a strong background in transactional work specific to asset management and investment management, with at least 4 years of experience at a leading law firm or in-house legal department.
Key Responsibilities:
- Provide legal support across a wide range of asset management and investment management activities, including private equity, hedge funds, real estate, and other alternative investments.
- Draft, review, and negotiate investment management agreements, private placement memorandums, partnership agreements, joint ventures, and other transactional documents.
- Advise on regulatory matters affecting investment management, including compliance with SEC, CFTC, and other global regulatory regimes.
- Provide legal guidance on fund formation, structuring, and operations, as well as matters related to investment vehicles and investor relations.
- Collaborate with senior legal and business teams on complex transactions, investments, and strategic initiatives.
- Stay abreast of changes in relevant laws and regulations, and proactively provide legal advice to mitigate risks and ensure compliance.
- Support the broader legal team in addressing ongoing legal and operational matters within the firm.
Qualifications:
- 4+ years of relevant legal experience with a strong emphasis on asset management, investment management, and transactional law.
- Experience gained from a top-tier law firm or as in-house counsel at an asset management firm, financial institution, or private equity firm.
- Deep understanding of the legal and regulatory environment for asset managers, investment funds, and institutional investors.
- Expertise in drafting and negotiating complex agreements, particularly those related to private funds and investment structures.
- Strong analytical and problem-solving skills, with the ability to communicate complex legal issues in a clear and concise manner.
- Excellent interpersonal skills and the ability to work effectively in a team-oriented, fast-paced environment.
- JD (Juris Doctor) from an accredited law school and membership in good standing with the bar.
