A reputable client is seeking a highly skilled and experienced Corporate Securities Attorney to join their dynamic legal team at a top tier firm. The ideal candidate will have a strong background in corporate law, securities regulation, and transactional work. This role involves advising clients on a wide range of corporate and securities matters, including public and private offerings, SEC reporting and compliance, mergers and acquisitions, and corporate governance. The successful candidate will possess excellent analytical, communication, and negotiation skills, and will thrive in a fast-paced, collaborative environment.
Key Responsibilities:
- Advise clients on securities law compliance, including SEC reporting and disclosure requirements
- Assist with public and private securities offerings, including drafting and reviewing offering documents
- Provide counsel on corporate governance matters and best practices
- Represent clients in mergers and acquisitions, including due diligence, negotiation, and documentation
- Draft and review a variety of corporate agreements, including shareholder agreements, partnership agreements, and joint venture agreements
- Conduct legal research and stay current on developments in securities law and corporate governance
- Develop and maintain strong client relationships through effective communication and exceptional service
Qualifications:
- Juris Doctor degree from an accredited law school
- Admission to either Illinois, Pennsylvania, Ohio, Indiana, Texas, Washington, D.C., or Florida state bars and in good standing
- Minimum of 5 years of experience in corporate securities law, preferably at a large law firm
- Strong knowledge of federal and state securities laws and regulations
- Excellent analytical, drafting, and negotiation skills
- Ability to manage multiple projects and deadlines in a fast-paced environment
- Strong interpersonal and communication skills, with the ability to work effectively in a team-oriented setting
Preferred Qualifications:
- Experience with mergers and acquisitions and corporate governance
- LL.M. in Securities Law or related field
- Prior experience working with public companies
