Our client is a leader in the Food and Beverage industries looking to hire an Associate General Counsel to take on a bulk of public company securities and finance legal work. Responsibilities:
Lead the preparation and review of major SEC filings, including annual, quarterly, and current reports, as well as proxy statements, to ensure regulatory compliance.
Provide strategic guidance on public company disclosures, aligning with financial regulations, including insider trading policies and other disclosure rules.
Ensure adherence to NYSE listing requirements.
Oversee the process of Section 16 filings on behalf of executives and board members.
Chair the Disclosure Committee, ensuring compliance with company controls and disclosure procedures.
Manage legal documentation and support financing activities, covering public and private debt, revolving credit, and other capital transactions.
Draft and review documentation for treasury activities, such as share repurchases, bank account transactions, hedging, and credit letters.
Oversee legal aspects of creating new entities, managing subsidiaries, and handling corporate secretarial tasks.
Advise on projects that involve corporate structuring to support tax strategies.
Support the review and enhancement of public company compliance policies and processes.
Assist with planning and organizing board of directors meetings as required.
Provide expertise on high-stakes corporate and financial transactions as needed.
Qualifications:
- 10+ years of relevent experience.
- J.D. from an accredited law school.
- Member in good standing of a state bar.
- Combination of law firm and in-house experience preferred.
