A reputable client is seeking a high-performing and experienced Corporate Attorney to join their dynamic legal team. The ideal candidate will have a strong background in the preparation and negotiation of corporate and transactional documents. The successful candidate will possess excellent analytical, communication, and negotiation skills, and will thrive in a fast-paced, collaborative environment. This role will sit in Greater Phoenix in a hybrid structure.
Responsibilities:
- Prepare and negotiate documents related to the formation of new business entities, including articles of incorporation, bylaws, and shareholder agreements. Ensure compliance with state and federal regulations.
- Develop comprehensive operating agreements that outline the management structure, financial arrangements, and operational procedures for various business entities.
- Draft and negotiate supply agreements that detail the terms and conditions of the supply of goods and services, ensuring favorable terms for clients.
- Handle the preparation and negotiation of documents related to mergers, acquisitions, and other corporate restructuring activities, including due diligence, transaction structuring, and closing documentation.
- Prepare purchase agreements for the acquisition of assets or businesses, including terms of sale, warranties, and indemnities.
- Represent clients in negotiations for a variety of business transactions, ensuring their interests are protected and objectives are met.
- Leverage strong business development skills to attract and retain clients, contributing to the growth of the corporate business unit.
Qualifications:
- Juris Doctor degree from an accredited law school.
- Active admission to the Arizona state bar or ability to waive in within 45 days.
- Minimum of 5 years of relevant experience in corporate law.
- Prior work within a national/global law firm (prefer AmLaw ranked)
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
