A leading electric power cooperative committed to providing reliable, affordable, and sustainable energy to our communities is looking to grow their legal team with a Deputy General Counsel. The Deputy General Counsel will serve as a senior leader within the cooperative's legal department, providing expert counsel on a broad range of legal matters, with a strong focus on construction law, EPC (Engineering, Procurement, and Construction) contracts, utility agreements, and more. The successful candidate will have 10+ years of legal experience, specifically in construction and utility law, and a proven track record of negotiating and drafting complex contracts in the electric power, construction, and utilities sectors.
In this role, you will collaborate closely with internal stakeholders, including senior management and project teams, to deliver timely, effective, and risk-conscious legal guidance that aligns with the cooperative's business objectives. You will play a key role in ensuring that all legal agreements, from construction to service contracts, are well-structured, compliant, and minimize potential risks, while supporting the cooperative's mission of providing safe and efficient energy solutions.
The Deputy General Counsel will:
- Contract Negotiation & Drafting: Lead the negotiation, drafting, and review of a variety of complex legal agreements, including EPC contracts, construction contracts, service agreements, utility contracts, customer agreements, and subcontractor agreements.
- Project Support: Work closely with internal teams (e.g., engineering, procurement, operations) to ensure legal and contractual issues are proactively addressed throughout the lifecycle of major construction projects and energy infrastructure initiatives.
- Risk Management: Evaluate and mitigate legal risks associated with construction, utility operations, and power generation projects, advising on contractual provisions, indemnities, liabilities, and compliance requirements.
- Dispute Resolution & Litigation: Manage and oversee construction and utility-related disputes, including claims, arbitration, and litigation, and engage with external counsel when necessary.
- Cross-Functional Collaboration: Serve as a trusted advisor to senior leadership and other key business units, providing practical legal advice that balances legal risks with business objectives.
The Deputy General Counsel must have:
- Juris Doctor (JD) degree from an accredited law school.
- 10+ years of in-depth legal experience, with a focus on construction law and utility agreements, including significant experience in negotiating, drafting, and interpreting EPC contracts, construction agreements, service agreements, and utility-related contracts.
- Extensive experience in the electric power and utilities sectors, including power generation, transmission, and distribution, and a deep understanding of regulatory frameworks governing the energy industry.
- Prior in-house experience in the electric power, energy, or utility sectors preferred.
