A well-established bank is in search for an internal legal member dedicated to providing innovative financial services and solutions to businesses and individuals. As this reputable client continues to expand its operations and navigate the evolving regulatory landscape, they are seeking an experienced and dynamic General Counsel to join it executive leadership team. This individual will provide legal guidance across key areas, including digital asset regulations, commercial lending, and corporate securities, ensuring the bank's continued compliance, risk management, and strategic growth.
Responsibilities:
- Provide expert legal counsel to senior management on a broad range of issues, including regulatory compliance, risk management, corporate governance, and commercial operations.
- Serve as the bank's primary legal advisor for all matters related to digital assets, including compliance with federal and state regulations, blockchain technology, cryptocurrency, and other emerging digital asset classes.
- Provide legal advice and guidance on commercial lending transactions, including structuring, documentation, and regulatory considerations.
- Advise on corporate securities matters, including public offerings, private placements, and compliance with SEC and other regulatory bodies.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Extensive experience in financial services law, with a deep understanding of federal and state banking regulations, securities law, and emerging digital asset regulations.
- Strong track record of advising on commercial lending, mergers and acquisitions, corporate governance, and securities compliance matters.
- In-depth knowledge of blockchain technology, cryptocurrency, and other digital assets, along with experience in navigating the regulatory landscape for these assets.
- Excellent communication and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders.
- Proven ability to lead and manage legal teams, including external counsel, and to effectively collaborate with senior leadership.
