Role Purpose and Responsibilities
We are seeking a proactive, results-oriented Corporate Counsel to collaborate closely with the Head of Legal & Innovation and teams across GTM, Finance, and Platform on various matters. In this role, you will support the commercial contracting process, including drafting, reviewing, revising, and negotiating customer agreements. You will also participate in strategic commercial and operational initiatives, providing practical legal advice on corporate and employment law. Successful candidates will be independent, trustworthy, detail-oriented, and adept at managing complex projects in a fast-paced environment.
Key Qualifications
- 3-5 years of experience as an In-house/Corporate Counsel
- Strong understanding of IP ownership and data protection/privacy issues in technology/commercial transactions
- Experience negotiating SaaS/Software contracts is essential
- Experience advising on HR, employment issues, and global compliance
- Excellent research skills to support our growth in a regulated space, including AI, climate, and technology
- Team player with exceptional communication skills and the ability to build strong relationships at all levels
- Pragmatic, business-focused approach with an understanding of business goals and risk management
- Ability to balance workload, meet deadlines, and deliver results in a dynamic environment
- Positive attitude, strong sense of ownership, and consistent delivery of quality work
- JD from a top-tier law school and membership in good standing with a state bar
Responsibilities
- Review, draft, and negotiate terms in agreements with customers, including SaaS Agreements, NDAs, Partnership Agreements, and Reseller Agreements
- Interpret complex regulatory frameworks and advise on product compliance
- Update and maintain internal terms, NDAs, licensing agreements, security, and data protection documentation
- Collaborate with Sales, Finance, Platform, and other teams to drive sales negotiations
- Ensure consistent approaches in negotiating agreements, data privacy requirements, and contractual compliance globally
- Provide counsel and support to management, HR, and business leaders on US employment matters
- Review and advise on US-specific policies and procedures related to employment issues
- Assist with other legal matters as directed by the Head of Legal
- Experience in competition and antitrust is a plus
