Legal Analyst - Established Global Investment Manager
An established and leading global investment management firm based in Austin, TX, is seeking a highly organized and proactive Legal Analyst to join its legal team. The Legal Analyst will provide critical support to the firm's legal and compliance functions, assisting with a wide range of tasks related to investment management, corporate governance, and regulatory compliance. Key Responsibilities:
- Assist in the preparation and review of investment management agreements, fund formation documents, and other transactional agreements.
- Provide legal support for regulatory filings and ensure compliance with applicable securities laws, including the Investment Advisers Act and the Investment Company Act.
- Conduct research on legal and regulatory developments affecting investment funds and asset management operations.
- Help maintain corporate governance documentation, including board materials, meeting minutes, and consents.
- Support the legal team with the drafting, reviewing, and updating of internal policies and procedures to ensure adherence to regulatory requirements.
- Assist in managing the documentation and reporting requirements for investment vehicles, including investor communications and fund-related filings.
- Coordinate with internal teams and external counsel on legal matters, helping to resolve issues and ensuring timely document preparation and execution.
- Organize and manage legal files, ensuring they are kept up to date and compliant with firm policies.
- Provide general administrative support to the legal team, including scheduling, document management, and legal research.
Qualifications:
- Bachelor's degree and at least 2 years of experience in a legal or compliance role, preferably in the investment management or financial services industry.
- Strong knowledge of corporate governance, investment management, and securities laws.
- Experience in preparing, reviewing, and managing investment management agreements and related documentation is a plus.
- Excellent research and analytical skills with a keen attention to detail.
- Strong written and verbal communication skills, with the ability to interact effectively with legal teams, management, and external counsel.
- Highly organized and able to manage multiple tasks and priorities in a fast-paced environment.
- Proficient in Microsoft Office Suite and legal research tools.
- Strong initiative and the ability to work independently, as well as part of a collaborative team.
