A broad-based Investment Management firm specializing on middle-market lending is looking for a Senior Counsel to join their lean legal team out of their Chicago HQ. This is a role with many responsibilities providing legal support on various corporate matters relating to investment funds, commercial lending transactions (involving CLOs and warehouse facilities), and SEC compliance matters. Working with and directly reporting up to the firm's General Counsel, this the chance to join a fast-paced and dynamic environment in the investment management industry.
This candidate will primarily be responsible for overseeing and managing commercial lending transactions, including structuring, negotiating, and closing deals, providing legal expertise on CLO-related matters and warehouse facilities, and other general corporate matters related to SEC compliance, capital markets activity, and fund governance.
The firm is ideally looking for candidates with at least 6+ years of experience in a big law environment, with prior expertise in lending transactions and corporate credit. Public company experience, capital markets experience, and knowledge of the Investment Company Act of 1940 & the Investment Advisers Act of 1940 is a plus. Willingness to go onsite to the Chicago office at least 2x a week is required as well.
Responsibilities:
- Overseeing and managing commercial lending transactions, including structuring, negotiating, and closing deals
- Assisting on general corporate matters related to investment advisors and funds, including fund governance
- Assisting with the development and launch of new investment products, including CLOs and warehouse facilities
- Providing support on SEC compliance matters including filings, disclosures, and corporate governance
Qualifications:
- 6+ years of experience at a top law firm, with prior lending transactions and corporate credit experience required
- Extensive knowledge of securities laws and regulations (1933 Act, 1934 Act, Investment Company Act of 1940 and/or Investment Advisers Act of 1940)
- Public company and capital markets experience is preferred
- Ability to learn on-the-go and wear many hats in a fast-paced environment
- JD from a top accredited law school
