Our Client is a Pharmaceutical Manufacturer of household medicines dedicated to providing innovative treatments to patients. The Company is looking for a highly skilled and experienced Legal Counsel to join its growing in-house legal team and this is an exciting opportunity to provide legal counsel on a wide range of matters impacting the Company and Pharmaceutical Industry.
The ideal candidate will have a strong transactional background and will provide general legal advisory to support its corporate and commercial activities. In this role, you will provide strategic legal guidance to senior management, business units, and other key stakeholders across a wide range of legal matters.
Key Responsibilities:
Corporate Transactions: Provide legal support on corporate transactions, including mergers, acquisitions, joint ventures, strategic alliances, and divestitures. Provide legal support in negotiating, drafting, and reviewing agreements related to such transactions.
Contract Management: Review, draft, and negotiate a variety of commercial contracts, including supply agreements, distribution agreements, licensing agreements, and collaboration agreements.
- General Legal Advice: Provide general legal counsel on a wide variety of matters, including corporate governance, compliance, intellectual property, employment law, and regulatory issues specific to the pharmaceutical industry.
Risk Management: Advise on legal risks and implications of corporate decisions, identifying potential risks and recommending mitigation strategies.
Regulatory Compliance: Ensure compliance with applicable laws and regulations, including those related to the pharmaceutical industry,such as fraud and abuse (e.g., Anti-Kickback Statute, False Claims Act, Anti-Trust) and FDA regulatory matters.
Internal Stakeholder Collaboration: Work closely with senior management, finance, and business development teams to provide timely and effective legal support on strategic initiatives and day-to-day operational matters.
External Counsel Management: Manage relationships with external legal advisors and coordinate their work on specific legal matters.
Qualifications & Experience:
- Law degree from an accredited institution.
- At least 5 years of experience in a corporate legal role, with a focus on corporate transactions (M&A, joint ventures, etc.) and general legal advice.
- Experience within the pharmaceutical/life sciences or healthcare industry is highly preferred.
- Strong knowledge of corporate law, contract law, intellectual property, and regulatory issues relevant to the pharmaceutical industry.
- Demonstrated ability to handle complex legal issues and provide practical, business-oriented legal advice.
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and manage multiple projects simultaneously in a fast-paced environment.
- Strong interpersonal skills with the ability to build relationships across various business functions.
