We are currently working with a large, publicly traded tech company in Phoenix. Their software products are widely used around the country to promote connectivity and saftey. This fast-growing technology company serves clients from mid-size companies to large governement entities, enabling the business to have impressive growth and expansion.
They are looking for a Senior Counsel who specializes in Corporate Governance and Securites. Their role will support a larger corporate legal department, also gaining experience with compliance, M&A, and commercial contracts.
Responsiblities:
- Ensure Compliance: Monitor and ensure compliance with securities laws.
- Corporate Governance: Advise on governance matters and best practices.
- SEC Filings: Prepare and review SEC filings (10-K, 10-Q, 8-K).
- Disclosure Obligations: Manage public disclosures.
- Mergers and Acquisitions: Support M&A transactions and due diligence.
- Shareholder Relations: Handle communications and manage meetings.
- Insider Trading Compliance: Develop and enforce insider trading policies.
- Risk Management: Identify and mitigate legal risks.
- Regulatory Liaison: Manage regulatory inquiries and act as a liaison.
- Policy Development: Implement compliance policies and procedures.
- Training and Education: Educate on securities law and governance.
- Contract Review: Review and negotiate securities-related contracts.
- Legal Research: Conduct research and stay updated on laws.
Qualifications:
- Juris Doctor from an accredited law school
- 5+ years of experience
- Expertise in corporate governance & securites
