A Global Investment Management is currently seeking a Securitization Counsel to provide legal support Structured Finance transactions and act as a business partner broadly. This position has opened up off the back of a strategic growth initiative, and offering the opportunity to join a collaborative team with a flat structure, reporting directly to the firm's Chief Legal Officer.
This individual will be responsible for a variety of matters related to Asset-Based Finance transactions, compliance, asset management, and more. This position sits in the firm's Newark, NJ office, and the in-office requirement is 3 days a week.
Responsibilities:
- Advise on private asset-based finance transactions, and provide daily legal advice to the firm's Fixed Income business.
- Draft, negotiate, and review transactional documentation and related agreements
- Support investment management matters; provide legal advise as-needed and work closely with the business regarding the allocation of funds once deals are closed.
- Manage external counsel handling transactions and fund-related matters.
- Support ad-hoc debt finance and lending transaction matters as they arise.
- Regulatory oversight; advise on compliance matters as they relate to transactions and investment management related issues.
Qualifications:
- Juris Doctor or equivalent; active Bar Membership in any U.S. State Bar
- 4+ years legal experience handling Securitizations/Structured Finance transactions - either in a law firm or an in-house setting.
- Deep experience within Fixed Income space; exposure to CLOs, R/CMBS, or other asset-backed securities/securitized products.
- Familiarity with private credit and other asset-based finance asset classes.
- Working knowledge of the 1940 Acts is considered a significant plus.
